1. Acceptance of Terms

Welcome to Chaotically Organized AI. By accessing or using our MCTB mobile app, full AI phone system, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not use our Services. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

MCTB Mobile App

Our MCTB (Missed Call Text Back) app helps you automatically respond to missed calls with personalized SMS messages. We offer three subscription tiers:

Full AI Phone System

Our complete AI assistant solution provides 24/7 call answering, SMS automation, chatbot integration, appointment scheduling, SEO optimization, and GEO (generative engine optimization) services for your business.

The build fee is due before work begins and covers the initial setup period (typically 5-10 business days). The monthly service fee begins once your system goes live.

3. User Obligations

By using our Services, you agree to:

• Provide accurate information: Supply truthful and complete business information during setup and keep it up to date
• Comply with SMS regulations: Follow all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and carrier guidelines for text messaging
• Obtain proper consent: Only send messages to individuals who have given prior express consent to receive them
• Use services legally: Do not use our Services for spam, harassment, illegal activities, fraud, or any purpose that violates local, state, or federal laws
• Maintain account security: Keep your login credentials confidential and notify us immediately of any unauthorized access
• Review AI outputs: While our AI is designed for accuracy, you remain responsible for final business decisions. Review call logs, transcripts, and automated messages regularly
• Honor opt-out requests: Immediately stop messaging anyone who requests to opt out or unsubscribe

4. Service Guarantees & Limitations

We strive to provide excellent service, but it's important to understand our limitations:

No Revenue Guarantees

We do not guarantee specific revenue, lead conversion rates, sales increases, or business outcomes. Our Services are designed to improve efficiency and customer engagement, but results depend on many factors beyond our control, including your industry, market conditions, pricing, product quality, and business practices.

GEO Optimization

Our GEO (Generative Engine Optimization) service implements best practices to optimize your AI assistant for visibility in AI-powered search results and chatbot responses. However, we do not guarantee specific rankings, citation placements, or visibility outcomes, as these depend on third-party AI systems that are constantly evolving.

System Uptime

We strive for high uptime and reliability, but we cannot guarantee 100% availability. Our Services may be unavailable due to maintenance, updates, network issues, third-party service outages, or circumstances beyond our control. We will make reasonable efforts to minimize downtime and provide advance notice of scheduled maintenance when possible.

AI Accuracy

Our AI system is designed for high accuracy in call handling, transcription, and customer interaction. However, AI is not perfect. The system may occasionally:

• Misunderstand accents, background noise, or unclear speech
• Provide responses that don't perfectly match your business needs
• Make transcription errors
• Encounter situations it hasn't been trained to handle

We continuously improve our AI models, but you should review call logs regularly and provide feedback to help us refine your system's performance.

5. Billing & Payments

MCTB App

• Monthly subscriptions are billed at the beginning of each billing cycle
• Payment is processed automatically through your chosen payment method
• You can cancel anytime (see Section 6 for cancellation policy)
• Failed payments may result in service downgrade or suspension
• No refunds for partial months

Full AI System

• $1,200 build fee: Due before work begins. Payment confirms your project and reserves our development team's time
• $197/month service fee: Billed monthly starting when your system goes live. Automatically charged to your payment method on file
• Late payments (more than 10 days past due) may result in service suspension
• If service is suspended for non-payment, a $50 reactivation fee applies in addition to outstanding balances

General Payment Terms

• All fees are in U.S. Dollars (USD)
• Prices may change with 30 days notice (existing customers are grandfathered at current rates for 6 months)
• You are responsible for any taxes, duties, or government charges related to your use of our Services

6. Cancellation & Refunds

MCTB App

• Cancellation: You may cancel your subscription anytime through the app settings or by emailing support@chaoticallyorganizedai.com
• Service access: When you cancel, you'll retain access through the end of your current billing period
• Refunds: No refunds for partial months. If you cancel mid-month, you can continue using the service until the period ends
• Data export: You can export your message templates and settings before cancellation. Data is retained for 30 days after cancellation

We reserve the right to suspend or terminate your access to our Services, with or without notice, for:

• Violation of these Terms of Service
• Non-payment of fees
• Illegal use of our Services
• Abuse, harassment, or spam activities
• Fraudulent activity or misrepresentation
• Actions that harm our business, other users, or third parties

Upon termination:

• Your access to the Services will be immediately revoked
• You remain responsible for any outstanding fees
• You may request a data export within 30 days (subject to payment of outstanding balances)
• We will delete your data according to our retention policy outlined in our Privacy Policy

10. Intellectual Property

All intellectual property rights in our Services, including but not limited to software, AI models, prompt engineering libraries, logos, designs, and documentation, remain the exclusive property of Chaotically Organized AI.

You receive a limited, non-exclusive, non-transferable license to use our Services for their intended purpose. You may not:

• Copy, modify, or reverse engineer our software or AI systems
• Resell or redistribute our Services without written permission
• Remove or alter any proprietary notices or labels
• Use our trademarks or branding without permission

Your content: You retain ownership of content you provide (business information, call recordings, etc.). By using our Services, you grant us a license to use this content solely to provide and improve our Services.

11. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make changes:

• We will update the "Last Updated" date at the top of this page
• For material changes, we will send an email notification to registered users
• Continued use of our Services after changes take effect constitutes acceptance of the new Terms

If you do not agree to the updated Terms, you may cancel your account according to the cancellation policy in Section 6.

Dispute Resolution

If a dispute arises between you and Chaotically Organized AI:

1. Good-faith negotiation: We agree to first attempt to resolve the dispute through good-faith negotiation. Contact us at support@chaoticallyorganizedai.com with details of your concern.
2. Arbitration: If we cannot resolve the dispute within 60 days, either party may initiate binding arbitration.
3. Jurisdiction: These Terms are governed by the laws of the State of California. Any arbitration or legal proceedings shall take place in Kern County, California (Bakersfield, CA area).

Class action waiver: You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

13. Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chaotically Organized AI
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• No waiver: Our failure to enforce any right or provision does not constitute a waiver of that right
• Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction
• Force majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
